2. Account Registration & Agreement Acceptance

2.1 Binding Contract

By performing any of the following actions:

Creating an Account,

Clicking "I AGREE" to these Terms,

Downloading any Company application, or

Entering a competition,

you acknowledge and guarantee that:

You have reviewed and comprehended these Terms in full;

You have the legal capacity to enter into this Agreement;

Your participation complies with all applicable laws in your jurisdiction.

2.2 Limited Usage Rights

Provided you comply with these Terms, we grant you a revocable, non-exclusive, non-transferable license to:

Access and use the Services for personal, non-commercial purposes;

Utilize platform avatars in strict accordance with our policies.

3. Updates to These Terms

3.1 Modifications

We reserve the right to modify these Terms at any time. Significant changes will be announced via notice on our official website.

3.2 Acceptance of Changes

Your continued use of the Services after modifications are posted constitutes your acceptance of the updated Terms.

4. Eligibility Criteria

To create an Account or participate in competitions, you must:

Be at least 18 years old (or the age of majority in your jurisdiction);

Provide a valid, verifiable email address;

Be physically located in an allowed jurisdiction at the time of participation;

Maintain ongoing compliance with all Terms.

5. Competition Participation Rules

5.1 Geographic Restrictions

Currently prohibited jurisdictions include:

United States: Delaware, Louisiana, Maryland, Montana, Tennessee, Indiana, Maine, Texas

Other regions: As updated periodically on our website

Participants are solely responsible for confirming their eligibility based on their location.

5.2 Participant Responsibilities

All participants must:

Participate as individuals (no proxies allowed);

Provide accurate and current registration details;

Update their information promptly if changes occur;

Avoid:

Collusion with other participants,

Use of automated entry systems,

Commercial trading of rewards or digital assets.

6. Account Policies

6.1 One Account Per User

Each user may maintain only one active Account. Duplicate or fraudulent accounts will be terminated immediately.

6.2 Security Obligations

You are responsible for:

Keeping your login credentials confidential;

All activities conducted through your Account;

Reporting unauthorized access without delay.

6.3 Inactive Accounts

We reserve the right to deactivate accounts that show prolonged inactivity.

7. Financial Terms

7.1 Fees & Payments

All service fees:

Are denominated in USD;

Must be paid in advance;

Are non-refundable, except where required by law.

7.2 Prize Distribution

Prize awards:

May require verification checks;

Depend on completion of tax documentation;

Are disbursed only through approved payment methods.

8. Intellectual Property Rights

All Service content, including but not limited to:

Software,

Visual designs,

Digital assets, and

Proprietary algorithms,

remains the exclusive property of the Company. No rights beyond the limited license in Section 2.2 are granted.

9. Liability & Dispute Handling

9.1 Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

Indirect, incidental, or consequential damages;

Third-party actions or content;

Service disruptions beyond our control.

9.2 Arbitration Requirement

Any disputes under this Agreement must be resolved through binding individual arbitration in Clark County, Nevada, following the Commercial Arbitration Rules of the American Arbitration Association.

10. General Provisions

10.1 Governing Law

This Agreement is governed by Nevada law, disregarding conflict of law principles.

10.2 Tax Responsibilities

Participants are solely responsible for taxes on prize awards.

10.3 Force Majeure

We are not liable for failures caused by events beyond our reasonable control.

10.4 Severability

If any provision is unenforceable, the rest of the Agreement remains fully effective.

10.5 Entire Agreement

This document represents the complete understanding between parties, replacing all prior agreements.
